«Nos dicen que el contrato, como Dios, ha muerto». Así comienza G. Gilmore la Introducción de su obra. Es una idea provocativa. Es una afirmación que no deja indiferente al mundo jurídico, ni a este ni al otro lado del Atlántico, ni a los juristas del derecho codificado ni a los juristas del common law (que codifican, también a su manera). En realidad Gilmore no mata contrato alguno. De hecho, el libro cuenta el nacimiento anglosajón de una teoría general del contrato, su desarrollo y su caída. Es decir, cuenta la vida del contrato. Gilmore ni siquiera se atreve a certificar su defunción: comienza diciendo que el contrato ha muerto y acaba sospechando su resurrección. Gilmore se refiere a la teoría general del contrato, a su artificial creación durante el siglo XIX, paralela al desarrollo del sistema económico liberal con el que coincide, consciente o inconscientemente, en los principios básicos de libertad e igualdad, eso sí, formales, y en la abstracción de sus conceptos (aunque sin llegar a la abstracción máxima que en nuestro ámbito cultural representa el negocio jurídico): todos los consentimientos contractuales son el consentimiento contractual; todos los posibles objetos del contrato son el objeto contractual. Qué más da quién y en qué circunstancias se preste ese consentimiento; qué importa cuál sea el concreto objeto del concreto contrato que consienten concretas personas. Éstas no son personas sino las partes del contrato; el objeto, basta con que sea lícito, posible y determinable. Así como para el sistema económico liberal clásico la persona es un sujeto productivo, en la teoría clásica del contrato, es una mera parte contractual. Esto es lo que Gilmore denuncia: una concepción abstracta, pura e inexistente del contrato. La actual tendencia es la absorción de los daños contractuales derivados del incumplimiento en los daños extracontractuales, conformando una única teoría general de la responsabilidad por daño.
